The Associate Counsel (Contracts), will report to the Director, Corporate Counsel of TDX (Transplant Diagnostics Division). This position will support the division on a wide range of legal matters with a focus on general commercial contracting and counsel, along with compliance, quality, procurement, regulatory, and dispute resolution. The TDX Corporate Counsel will work closely with business functional colleagues, including but not limited to Sales, Global Trade Compliance, Quality, Procurement, EHS, and Regulatory, as well as other TDX Legal personnel, to facilitate business transactions and manage legal compliance matters and requests.
Responsibilities:
- Draft, negotiate, and, if appropriate, seek approval for the execution of a range of commercial contracts, including third parties OEM and supply contracts, technology in-licenses, out-licenses, technical collaborations, joint development agreements, quality agreements, term sheets and other commercial agreements of varying complexity, as needed
- Provide guidance on a range of legal, regulatory and compliance matters, including, government contracts, commercial antitrust, marketing, anti-bribery/ FCPA, transparency laws, including Sunshine Act/Open Payment, FDA, fraud and abuse, products liability, and data privacy
- Educate and train employees on their obligations under the company Code of Conduct and legal parameters
- Provide advice regarding customer and other commercial/ business disputes
- Collaborate on certain divisional projects and practical process improvement initiatives related to legal, compliance and/ or regulatory matters
Requirements/Qualifications:
- Juris Doctorate required, and admission to a state bar
- At least 3 years of commercial contracts and business legal experience
- Mix of law firm and inhouse experience and government contracting experience is a plus
Important skills for success:
- Team player capable of participating within cross-functional project teams to meet key milestones under tight timelines and stressful conditions
- Strong organizational skills and attention to detail with proven ability to handle multiple tasks efficiently and effectively
- Ability to identify legal risks and develop strategic and tactical ways to minimize such risks
- Familiarity and experience with several of the following legal, regulatory and compliance areas: government contracts, commercial antitrust, marketing, anti-bribery/ FCPA, transparency laws, including Sunshine Act/Open Payment, FDA, fraud and abuse, products liability, and data privacy
- Strong work ethic with ability to work independently
- Ability to maintain strict confidentiality of sensitive information
- Proven research and analytical skills with the ability to translate legal theory into applied business success
- Strong interpersonal skills and effective communication and presentation styles
- Occasional travel required (when conditions permit)
