JOB SUMMARY

The Assistant General Counsel is responsible for assisting in execution of Apria’s legal program.

 

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Assists in execution of the company's legal program
  • Drafts and negotiates complex agreements and other high-level documents, which may include revenue-producing contracts for national managed care accounts, stock or asset purchase agreements, real estate leases, equipment purchase or technology licensing agreements and other operational documents.
  • Works cross-functionally with managed care sales and management team, Human Resources department, IT department, Revenue Management, regulatory compliance, operations, and other departments to ensure contractual terms are compliant with legal and regulatory requirements, and company policies and risk preferences.
  • Researches applicable law and legal developments stemming from contract negotiations and related to topics/issues such as managed care, data security, privacy, import/export laws, Fair Debt Collection Practices Act, trademark/patent infringement, Sarbanes-Oxley requirements, and employment.
  • Communicates and negotiates with opposing counsel when issues arise related to contract negotiations.
  • Oversees handling of managed care Requests for Proposals and government bids, and matters related to the Apria Pharmacy Network.
  • Oversees all aspects of company branch relocations and closures to ensure proper protocols are followed pursuant to the terms of managed care payor contracts.
  • Provides legal advice and assistance to the field and corporate management regarding healthcare regulatory and other complex legal issues.
  • May assist with the preparation or review of documentation related to financial transactions and corporate governance documents and may conduct or participate in litigation or respond or assist in responding to government and other audits and investigations.
  • Assists in the administration of outside counsel relationships.
  • Conducts presentations or prepares educational materials for corporate and field personnel, including management and sales employees, regarding applicable laws and regulations.
  • Assists with training new managed care sales and management team on processes and protocols related to contract management database program.
  • Reviews marketing materials to ensure compliance with contractual requirements and applicable laws and regulations.
  • Manages and/or performs special assignments and projects as assigned by General Counsel or other senior members of the Legal Department.
  • Responsible for being aware of proposed and existing legislation and other legal developments affecting the company and works with Legal Department staff to communicate new legal developments to appropriate company personnel.    
  • Develops policies and protocols for department staff and supervises subordinate staff for development, project direction and production quality and quantity.
  • Responsible for hiring, coaching, performance appraisal and disciplining of subordinate staff.
  • Performs other duties as required.

 

SUPERVISORY RESPONSIBILITIES

  • May supervise subordinate attorneys, paralegals and administrative staff.
Minimum Required Qualifications (External):

Education and/or Experience

  • Four-year college degree or equivalent experience is required.
  • A law degree (Juris Doctor or equivalent) is required.
  • Ten years of related experience is required.

 

Certificates, Licenses, Registrations or Professional Designations

  • Admittance in good standing to a State Bar is required.
  • Must be entitled to practice law in the jurisdiction where employed.

Computer Skills

  • Proficiency with Microsoft applications and common computer equipment and office hardware.
  • Strong research skills using Lexis or Westlaw or equivalent.
  • Ability to learn and utilize contract management database-type software program.

 

Language Skills

  • English (reading, writing, verbal)

 

Mathematical Skills

  • Should possess sufficient mathematical skills to support business-oriented legal work.

 

Other Skills

  • Specific experience and skills may be required in the context of specific legal specialties.
  • Interpersonal skills are critical – must be internal-customer oriented, a team player, and able to balance multiple projects and their respective pressing deadlines.

 

Education and/or Experience

  • Previous health care or other related experience either at a law firm or corporate environment

 

PHYSICAL DEMANDS

This is a stationary position that requires frequent sitting or standing, repetitive wrist motions, grasping, speaking, listening, close vision, color vision, and the ability to adjust focus.  It also may require occasional lifting, carrying, walking, climbing, kneeling, bending/stooping, twisting, pulling/pushing, walking, bending, stooping, and reaching above the shoulder.  Employees in this position must be physically able to efficiently perform the essential functions of the position.
