We are seeking an experienced and highly motivated, well organized, and detail-oriented Practice Acquisition Manager to join our Growth team. The Director for Growth will facilitate provider practice and ambulatory surgical center acquisitions that align with the needs of our organization.


The Director for Growth will manage certain practice acquisition planning and acquisition logistical activities, manage against acquired EBITDA targets, report on acquisition activities, collects and analyzes due diligence data. The Director leads and supports negotiations with practices/physicians, obtaining signatures on definitive documents, and transitions acquisitions to the integration team.


PRINCIPAL DUTIES AND RESPONSIBILITIES:

• In collaboration with the VP for Growth and the Executive Leadership Team, attains performance and financial goals with respect to practice acquisitions.

• Ownership over physician practice acquisition efforts from developing lead generation and evaluation of potential targets through securing and negotiating the signed contract/Asset Purchase Agreements ensuring overall project/transaction quality and value.

• Proactively identify, screen, and evaluate a pipeline of acquisition potentials in existing markets while cultivating trusted relationships with target companies and strategic partners, both within our existing service areas and outside/other states or regions.

• Presenting potential acquisitions prospects to Deal team including business rationale for each target

• Responsibility to ensure all components of acquisitions are complete including:

o Deal Documentation: NDA, letter of intent, purchase agreement, employment agreement, ancillary documents, subscription agreements, etc.

o Manages and facilitates process of acquisition team to develop detailed proformas and financial models to ensure appropriate strategic business decisions are executed. Summarizes findings and provides recommendations to leadership

o Negotiations with targets and their advisors

o Working closely with corporate Operational, Legal, Integration and Deal teams, Responsible for managing the diligence process for practices with both internal and external constituents to ensure the proper review and vetting of prospects through data collection, identifying strategic alignment, and organizing leadership interviews.

o Manages process of finalizing acquisition through working with legal to draft final agreements and acting as the conduit with the practice for purchase contract execution through by Executing/closure of acquisition/partnerships and transition to operations.

o Reviews financial models to ascertain the financial implications of undertaking a proposed business development strategy. Presents financial and strategic information to the executive and deal teams in a clear and concise manner.

• Engaging in critical business collaboration with key internal and external stakeholders including physicians to develop growth strategy plans and proformas on future business results for growth opportunities. Packaging data/details for presentation.

• Partner with project and integration teams to ensure a successful transition. Procure necessary resources, data, or information from multiple departments within and across affiliate organizations to accomplish project success.

• Support and lead other internal projects as directed.

• Other relevant duties as required.


QUALIFICATIONS, KNOWLEDGE, SKILLS AND ABILITIES:

• Bachelors’ degree in Business, Finance, Healthcare Management, or related field required. Master’s degree preferred.

• Five or more years of experience in an investment banking or a healthcare environment, preferably in a large physician practice, health services or hospital setting. Eight or more years of experience in practice acquisitions, practice management or related physician practice management role preferred

• Demonstrated marketing capability, financial and analytic skills, and business acumen

• Exceptional communication and collaboration abilities and outstanding interpersonal skills.

• Ability to effectively delegate responsibility and empower staff to achieve goals.

• Ability to think conceptually.

• Skilled strategic and functional problem solver.

• Excellent organization, time management and attention to detail.

• Success in leading high performing teams; a strong team player.
