As one of the nation’slargest legal staffing providers, Hire Counsel has an immediate opportunity fora Paralegal, Private Investment Funds(PIF) to work with an AmLaw 100 law firm.Our client specializes in complextransactions, high-stakes litigation and world-class advisory services in thetechnology, life sciences, real estate, private equity and financialindustries.

Ourclient provides their employees with the flexibility to work remotely or onsitein any of the following areas: CA, DC, MA, NY, CT, MD, NJ, GA, IL,MN, OH, PA, SC, UT, WA, CO, VA. NV, TN, NH, TX and WY.

As a Private Investment FundsParalegal, you will be part of a team who is known for creating innovative fundstructures that accomplish client goals and meet the unique tax, regulatory andother requirements. You will be able to work with experts, work withinterdisciplinary teams to provide counsel at every stage of a fund, drawing onthe collective knowledge and experience of our firm’s tax, securities, ERISA,banking and other financial services practices.

What you do:

  • Creates fund entities
  • Research Blue Sky
  • Prepares Form Ds
  • Maintains fund tracking spreadsheets
  • Organizes subscription agreements
  • Assists with the preparation and organization of documents necessary to close funds

    • Who you are:

  • Experience on both borrower and lender side of leveraged finance transactions preferred, but not required
  • Strong organizational and communication skills
  • Ability to exude a high level of attention to detail
  • Capable of handling multiple responsibilities
  • Ability to work well in a team-oriented environment
  • Advanced proficiency with Microsoft Word and Excel is required
